VOLUNTEER AGREEMENT AND RELEASE

I, the undersigned, desire to volunteer in programs and/or activities, including but not limited to managing programs, assisting with event and webinar planning, or other mission related activities (the “Activities”) of the Mary Gloria Foundation, an Arizona nonprofit corporation (the “Foundation”).

Release. In consideration for being permitted to participate in the Activities, I freely and voluntarily release, waive, discharge, and indemnify Foundation and its directors, officers, agents, assigns, affiliates, volunteers and employees (the “Released Parties”) from any and all claims, liability, injuries, losses, damages, or costs of any kind or nature that arise from, are caused by, or are related in any way to the Activities. In addition, I agree to indemnify and hold the Released Parties harmless from any loss, liability, damage, or cost which they may incur as a direct or indirect result of my participation in the Activities.

Assumption of Risk. I understand that there may be risks connected with participating in the Activities including, but not limited to, the intentional or unintentional acts or omissions of a third-party; or other acts, incidents, or conditions, whether known or unknown to Foundation. I knowingly assume all risk and liability associated with my participation in the Activities, whether known or unknown.

Representation. I understand that my participation in the Activities is voluntary. I acknowledge that I am not entitled to compensation or other benefits for my participation as a volunteer in the Activities. I will observe and obey all applicable laws, rules, and regulations. I knowingly agree to conduct myself in a safe and prudent manner. Foundation does not assume any responsibility for or obligation to provide me with financial or other assistance, including but not limited to medical, health or disability benefits or insurance of any nature.

Confidential Information. I understand that I may receive Confidential Information (as defined below) while participating in the Activities. If I am the recipient of Confidential Information, I understand and agree that I will not disclose the Confidential Information without the prior written consent of Foundation. I further understand that any breach of the duty to maintain confidentiality could be grounds for immediate dismissal and/or possible liability in any legal action arising from such breach. For the purpose of this provision, “Confidential Information” means any information that Foundation deems proprietary, including but not limited to, marketing data, donor records, financial projections, fundraising plans, board and committee meeting materials, contracts and trade secrets.

Media Release. I further consent to the unrestricted use in any form of any photographs, interviews, film, videotapes, other visual or auditory recordings, in any other medium, including the Internet, of me that the Released Parties or others may create in connection with my participation in the Activities. I waive any right to inspect or approve the finished product and acknowledge that I am not entitled to any compensation for creation or use of the finished product.

Effectiveness. My participation in the Activities may be on a repeat or on-going basis, and if so, I understand that this Release will continue to be in effect each time I participate in the Activities.

I expressly agree that this Volunteer Agreement and Release (this “Release”) is intended to be as broad and inclusive as permitted by the laws of the State of Arizona and that this Release shall be governed by and interpreted in accordance with the laws of the State of Arizona. I agree that in the event that any clause or provision of this Release is deemed invalid, the enforceability of the remaining provisions of this Release shall not be affected.
